Ownership of Artwork and Files: The client affirms that they hold all necessary rights, titles, and interests in any artwork, designs, or files submitted to us for digitizing or conversion into vector files. The client grants us a non-exclusive, worldwide, perpetual license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content (in whole or part) and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any rights that may exist in such content.Client Responsibilities: The client is solely responsible for the artwork and files submitted and for obtaining any necessary permissions, consents, or licenses required for their use. The client warrants that the use, reproduction, or display of the artwork will not infringe on the rights of any third parties, including but not limited to copyright, trademark, and privacy rights.Usage of Digitized Files and Vectors: The client agrees that the digitized files and vector graphics we provide are for their use only and that they will not sell, distribute, or otherwise transfer the files to third parties without our prior written consent. The client is responsible for the final application and use of the digitized files and vector graphics, including but not limited to embroidery, printing, or any other form of reproduction.Testing and Quality Assurance: Before using the digitized files or vector graphics in production, the client is advised to test them on swatches or scraps to ensure the quality and compatibility with their machinery and materials. The client acknowledges that they are responsible for confirming the suitability of the digitized file or vector graphic for their particular purposes.Limitation of Liability: We are not liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use or inability to use the digitized files or vector graphics. We are not responsible for any damage, deterioration, or malfunction of garments or other materials used in conjunction with our files.Warranty Disclaimer: We provide our services "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.Amendments to Terms and Conditions: We reserve the right to amend these terms and conditions at any time.
